Agreement and acceptance
Rednirus Digital Media (“Rednirus”, “we”, “us”) is based in Panchkula, Haryana, India. When you browse rednirus.in, send us an enquiry, accept a quote or pay an invoice, you (“you”, “the client”) agree to these terms, our Privacy Policy and any proposal or service order we agree with you. If they conflict, the signed proposal decides price, scope and timelines, and these terms decide everything else.
This is an electronic contract. Under Section 10A of the Information Technology Act, 2000, an agreement made by electronic means, such as a click, an email or a WhatsApp confirmation, is valid and enforceable. No paper signature is needed.
You must be 18 or older and legally able to enter a contract under the Indian Contract Act, 1872. If you agree on behalf of a company, you confirm you have the authority to bind it.
Our services, and what we do not promise
We provide SEO, social media optimisation and marketing, Google Ads (PPC), website design and development, e-commerce marketing, bulk SMS and WhatsApp marketing, as described in your proposal. Anything outside the proposal is extra work and is quoted separately before we start.
We promise skilled work, reasonable care and honest reporting.
We do not promise a particular Google ranking, a number of leads or sales, or a return on ad spend. Search engines and ad platforms change their algorithms, prices and policies all the time, and we do not control them. Timelines also depend on you sending content, approvals and access on time.
Quotes, payment and refunds
- Prices. All quotes are in Indian rupees (INR), valid for [15 days], and exclude GST at the applicable rate and any third-party costs such as domains, hosting, SMS credits or paid plugins.
- Ad spend. Money you spend on Google, Meta and other platforms is separate from our management fee. We do not add a mark-up unless the proposal says so.
- Invoices. Projects: [50%] advance, balance on delivery. Retainers: monthly in advance. Payment is due within [7 days] of the invoice.
- Late payment. We may charge interest of [1.5% per month] on overdue amounts, pause work, and hold back final files and account hand-over until dues are cleared.
- TDS. If you deduct tax at source, please send us the certificate so we can claim credit.
- Refunds. Work already done and third-party costs already paid or spent are not refundable. If we have not started, we refund your advance minus costs incurred within [7 working days]. If we fail to deliver something we agreed, we will fix it or refund the fee for that item.
Your responsibilities
- Be accurate and on time. Give us correct information, content, approvals and access when we ask. Delays on your side move our timelines.
- Own what you send. You confirm you have the right to use every logo, image, text, video, music, testimonial and contact list you give us, and that using them will not break anyone’s rights.
- Share access safely. Add us as a user on your ad, social and analytics accounts through the platform. Please do not send passwords.
- Keep your claims true. Everything we publish for you must be honest and provable. Advertising must follow the Consumer Protection Act, 2019, the CCPA’s guidelines on misleading advertisements (2022) and the ASCI Code, including clear disclosure of paid endorsements.
- Hold the right licences. If you sell regulated products or services, such as medicines, healthcare, food, supplements or financial products, you must hold the required licences and follow the laws for them, including the Drugs and Magic Remedies (Objectionable Advertisements) Act, 1954 and the Drugs and Cosmetics Act, 1940.
We may pause or decline any content that we reasonably believe is unlawful or misleading, and we will tell you why.
Intellectual property
- What you bring stays yours. Your brand, logos and content remain yours. You give us a licence to use them only to do your work.
- What we bring stays ours. Our tools, templates, code libraries, methods and pre-existing materials remain ours.
- What we make for you becomes yours. Once every invoice is paid in full, the custom designs, website and content we create specifically for you transfer to you under the Copyright Act, 1957. Until then you have a licence to use them for the agreed purpose.
- Third-party material. Stock images, fonts, plugins and themes come with their own licences. We will tell you when you need to buy or renew one.
- Portfolio. We may show finished, non-confidential work in our portfolio unless you tell us in writing not to.
- This website. The text, logos, graphics and design of rednirus.in belong to Rednirus and are protected under the Copyright Act, 1957 and the Trade Marks Act, 1999. Please do not copy them without our written permission.
Third-party platforms and accounts
Much of our work runs on platforms we do not own: Google, Meta, WhatsApp Business, telecom operators, hosting companies and domain registrars. Their rules apply to your campaigns. They can reject ads, suspend accounts, change prices or fix limits at any time, and we are not responsible for their decisions. We will help you appeal and adjust.
Ad accounts, pages, domains and analytics properties created for you belong to you. We keep only the admin access needed to do the work, and we hand it over on request once dues are cleared.
Acceptable use
You must not use our website or services to:
- Break any Indian law, including the Information Technology Act, 2000 (for example hacking under Section 66, identity theft under Section 66C, cheating by impersonation under Section 66D, or publishing obscene material under Section 67) or the Bharatiya Nyaya Sanhita, 2023
- Publish defamatory, hateful, fraudulent or infringing content, fake reviews or testimonials, or false claims
- Promote illegal betting or real-money gaming
- Send spam or contact people without their consent
- Upload malware, scrape or overload our site, or try to get around its security
- Pretend to be someone else or hide who the real advertiser is
If you do, we may remove the content, suspend or end the service, and share information with the police, CERT-In or other authorities where the law requires.
Bulk SMS, WhatsApp and email campaigns
Messaging campaigns are tightly regulated, so these rules are firm:
- Consent. You confirm that every person on your list agreed to receive your messages, and you will show us proof if we ask.
- TRAI compliance. For SMS you provide your DLT-registered entity ID, sender IDs and approved templates, and you send only content that matches those templates, under the TRAI Telecom Commercial Communications Customer Preference Regulations, 2018. We will not send promotional messages to numbers on the Do Not Disturb list in breach of those rules.
- WhatsApp. You follow WhatsApp’s Business terms and send marketing messages only to people who opted in.
- Opt-out. Every promotional message must make it easy to stop, and you must honour opt-outs promptly.
- Who is responsible. For your lists you are the one deciding why and how data is used, and we process it for you on your instructions.
- Stopping a campaign. We may stop any campaign at once if we receive complaints, an operator or regulator blocks it, or we suspect it breaks the law.
- Delivery and credits. Delivery depends on telecom operators and platforms, so we cannot guarantee it. SMS credits already used are not refundable.
Confidentiality and data protection
Confidentiality. Each side keeps the other’s non-public information, such as pricing, strategy, credentials and customer lists, confidential and uses it only for the work. This does not cover information that is already public, independently known, or required by law to be disclosed. It continues for [2 years] after the work ends.
Personal data. We handle personal data as described in our Privacy Policy and as the Digital Personal Data Protection Act, 2023 and its Rules, 2025 require. When we process your customers’ data, we do so only on your instructions under these terms. You are responsible for having a lawful basis, such as consent, to share that data with us.
Security. We use reasonable security practices, as the SPDI Rules, 2011 expect. If we notice a qualifying cyber incident, we report it to CERT-In within 6 hours as its 2022 directions require, and we tell you without undue delay if your data is affected.
Disclaimers, limit of liability and indemnity
Disclaimer. Except for what we expressly promise in these terms and your proposal, our website and services are provided “as is”. We do not promise that the site will always be available or free of errors.
Limit of liability. As far as the law allows, neither of us is liable to the other for indirect or consequential loss, or for lost profit, revenue, data or goodwill. Our total liability for any claim is limited to the fees you paid us for the specific service in the [3 months] before the claim. Nothing here limits liability for fraud or wilful misconduct, or anything else the law does not allow to be limited.
Indemnity.
- You will cover us against claims, losses and costs arising from your content, products, claims or contact lists, or from your breach of these terms or the law.
- We will cover you against claims that work we created from scratch for you infringes someone’s copyright, except for anything you supplied or asked us to include.
Term, termination and force majeure
- Start and length. These terms begin when you accept. A project ends on delivery and final payment. A retainer runs for [3 months] minimum and then renews monthly unless either side gives [30 days’] written notice.
- Ending for cause. Either side may end the agreement if the other commits a serious breach and does not fix it within [15 days] of written notice. We may suspend work immediately for non-payment or unlawful use.
- What happens next. You pay for work done and costs already committed. We hand over files and account access once dues are cleared. Clauses on payment, intellectual property, confidentiality, liability and disputes survive termination.
- Force majeure. Neither side is in breach for delay caused by events beyond its reasonable control, such as natural disasters, war, epidemics, power or internet failure, platform or telecom outages, government orders or cyber attacks despite reasonable safeguards. If the delay lasts over 30 days, either side may end the agreement.
Governing law, disputes and contact
Governing law. These terms are governed by the laws of India.
Resolving disputes. Please talk to us first: send a written notice and we will try to settle it within 15 days. If that fails, the dispute goes to arbitration under the Arbitration and Conciliation Act, 1996, before a sole arbitrator appointed by mutual agreement. The seat and venue are Panchkula, Haryana, the language is English, and the award is final and binding. The courts at Panchkula have exclusive jurisdiction for interim relief and for enforcing an award.
General.
- These terms and your proposal are the whole agreement between us.
- If one part is found unenforceable, the rest still applies.
- Not enforcing a right once does not waive it.
- You may not transfer your rights without our written consent.
- Notices by email to the contact details below are valid.
- We may update these terms. The date at the top shows the current version, and continued use after a change means you accept it. Changes do not alter a project already agreed unless you consent.
